§1 General Provisions; Scope of Application
1.1 The following Terms and Conditions apply to all contracts concluded between Your Source AB and the client regarding personnel placement services. They also apply to all future business relationships, even if they are not explicitly agreed upon again. Deviating terms and conditions of the client that are not expressly acknowledged by Your Source AB are non-binding for Your Source AB, even if the use of other terms and conditions is not explicitly objected to.
1.2 For a contract to be legally effective, it must be in written form. Orally issued orders are only binding if confirmed in writing by Your Source AB, and the client does not immediately object in writing upon receipt.
1.3 In the event of deviations or contradictions between agreements in an individual contract and these conditions, the terms of the individual contract take precedence.
§2 Subject of the Contract
2.1 Your Source AB is commissioned to provide qualified personnel for the client. The specific requirements for the position to be filled, including a detailed list of the required qualifications and a precise job description, will be communicated by the client to Your Source AB in writing, electronically, or in a briefing upon the order being placed. Your Source AB will summarize these requirements in writing, forming the basis for further collaboration.
2.2 Your Source AB will, at its own discretion and using methods it deems appropriate, search for suitable candidates, review and evaluate incoming or existing applications and profiles, and promptly suggest candidates deemed suitable to the client.
2.3 The client is obligated to inform Your Source AB in writing or electronically within three days if a proposed candidate is not selected for further consideration. If a proposed candidate is considered suitable by the client, the client will establish contact with the candidate through Your Source AB.
§3 Remuneration
3.1 The amount of remuneration will be determined in writing by an offer from Your Source AB before the order is placed and must be confirmed in writing by the client.
§4 Obligations of the Client
4.1 The client is obligated to provide feedback on the candidate profile to Your Source AB within three working days after receiving it.
4.2 If a proposed candidate is rejected by the client, the client is obligated to inform Your Source AB in writing or electronically within three working days, stating the reasons for the rejection. The reasons for rejection must be in line with the mutually agreed requirements.
4.3 The client is obligated to promptly inform Your Source AB of the outcome of the contact and contract negotiations.
§5 Confidentiality
5.1 The parties are obligated to treat all information received as part of the placement proposal as strictly confidential and to use it only within the scope of the placement, particularly not to disclose this information to third parties.
5.2 This obligation extends beyond the termination of this contract.
5.3 Documents of rejected candidates must be deleted and returned.
§6 Liability and Warranty
6.1 Your Source AB assumes no liability or warranty for the quality and excellence of a proposed candidate's work performance.
6.2 The client is solely responsible for verifying the information provided by candidates.
6.3 Otherwise, Your Source AB is only liable for intent and gross negligence.
§7 Equal Treatment
7.1 Your Source AB commits to conducting the search and selection of candidates under equal conditions for all candidates and to complying with the requirements of the General Equal Treatment Act (AGG).
§8 Binding Period
8.1 Within 12 months from the presentation of a candidate by Your Source AB, the client is bound to this contract in each individual case, and contact with the candidate may only be made through Your Source AB. The entitlement to remuneration exists regardless of who initiates a renewed contact. If the candidate contacts the client within this period, the client must inform Your Source AB in writing or electronically. This applies regardless of whether the contract is still in effect at the time or has been terminated earlier.
8.2 After 12 months from the presentation of the candidate by the contractor, the client is no longer bound by this contract in the respective individual case.
§9 Final Provisions
9.1 The place of performance and—if commissioned by merchants, the exclusive—jurisdiction for all disputes arising from this contractual relationship as well as about its origin and validity is Berlin. The law of Sweden applies.
9.2 All changes, side agreements, and additions must be made in writing. This also applies to changes to this clause.
